    These terms apply to this website only. Separate Terms and Conditions and Data Governance policies apply to our application platform for registered clients.

    These Website Terms of Service govern your use of strixsmart.com and related marketing materials only. By accessing our website, you agree to be bound by these terms.

    Note: Using this website does not create a customs brokerage engagement, grant Power of Attorney, or set fees. POA, brokerage services, and fees are only in the client agreement provided at registration. Registered clients using the application platform also receive separate application Terms and Data Governance policies.

    1. Definitions

    • "Strix," "we," "us," or "our" refers to Strix LLC, a Montana limited liability company, and TBI Brokers Inc, operating collectively as licensed U.S. Customs Brokers.
    • "Website" refers to strixsmart.com and all associated marketing subdomains and pages.
    • "you" or "your" refers to the individual or entity browsing or contacting us through the Website.
    • "Application" or "app" refers to the registered-client platform, which is governed by separate terms.

    2. Acceptance of Terms

    By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Website Terms of Service and our Website Privacy Policy. If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

    Your continued use of the Website constitutes ongoing acceptance of any modifications to these Terms.

    These terms govern website usage only. They do not bind you to customs brokerage services. Registered clients receive a separate client agreement, application terms, and data governance policies.

    3. What This Website Is

    This Website provides marketing information about customs brokerage, compliance consulting, and software that Strix offers. Descriptions of those offerings are informational. They are not an offer to act as your customs broker, and they do not authorize us to transact customs business for you.

    Power of Attorney, service scope, and fees are set only in the signed client agreement (and related CBP forms), not by browsing or submitting a website form.

    4. Website Use

    You may use the Website for lawful purposes. You agree not to interfere with the Website, misrepresent your identity on contact forms, or use site content in a way that violates applicable law.

    Information you submit through marketing forms (demo requests, contact, newsletters) is handled under our Website Privacy Policy. Application accounts, if you later register, are governed by the client and app policies.

    5. No Brokerage Engagement or Power of Attorney

    These Website Terms do not grant Strix Power of Attorney and do not appoint Strix as your customs broker. We will not file entries, communicate with CBP on your behalf, or charge brokerage or software fees under these Website Terms.

    If you become a client, POA, fees, payment terms, classification responsibility, and related customs-business terms appear only in the client agreement.

    6. Limitation of Liability

    THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. STRIX MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ABOUT THE WEBSITE OR MARKETING MATERIALS.

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRIX'S TOTAL LIABILITY TO YOU FOR CLAIMS ARISING OUT OF OR RELATED TO THESE WEBSITE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

    IN NO EVENT SHALL STRIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    Website content is general information, not legal advice and not a substitute for a client engagement.

    7. Indemnification

    You agree to indemnify, defend, and hold harmless Strix, its officers, directors, employees, agents, and affiliates from claims, damages, losses, and reasonable attorneys' fees arising from your violation of these Website Terms, your misuse of the Website, or inaccurate information you submit through website forms.

    8. Intellectual Property

    The Website, software descriptions, content, trademarks, and other intellectual property are owned by or licensed to Strix. You may not reproduce, modify, distribute, or create derivative works without our express written permission.

    You retain ownership of information you submit through website forms. You grant us a license to use that information to respond to your inquiry, as described in our Website Privacy Policy.

    9. Confidentiality

    We will not treat ordinary website browsing as a confidential engagement. Inquiry details you send through forms are handled as described in the Website Privacy Policy. Client operational data is governed by the separate client Data Governance policy.

    10. Force Majeure

    Strix is not liable for failure or delay in providing the Website due to circumstances beyond our reasonable control, including outages, acts of God, labor disputes, or changes in law.

    11. Dispute Resolution

    Before formal dispute resolution, contact legal@strixsmart.com to attempt an informal resolution.

    Any dispute arising out of these Website Terms or the Website shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Bozeman, Montana, governed by Montana law.

    YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND STRIX INDIVIDUALLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

    Either party may seek injunctive relief in court for intellectual property or confidentiality matters.

    12. Changes and Termination of Website Access

    We may update or discontinue the Website, or refuse access, at any time. We may modify these Terms and will update the "Last Updated" date. Continued use of the Website after changes take effect constitutes acceptance.

    Ending website use does not terminate a separate client agreement, if you have one.

    13. Governing Law

    These Terms are governed by the laws of the State of Montana, without regard to conflict-of-law rules. To the extent not covered by arbitration, you consent to the exclusive jurisdiction of the courts located in Gallatin County, Montana.

    14. Miscellaneous

    These Website Terms and the Website Privacy Policy are the entire agreement between you and Strix regarding the Website. They do not replace a client agreement, application terms, or Data Governance policy. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them.
